Mineseeker Operations Overseas Limited, a British Virgin Islands-domiciled corporation focused on aerial survey and mapping, has entered into a Memorandum of Understanding with US-based Wamar International LLC – a multinational group of companies and a leading provider of premium services across different industry sectors including power generation, oil and gas, and aviation. This agreement provides Wamar with representation rights in the Middle East and North African Arab speaking region (MENA region), and commits both parties to enter in good faith negotiations to establish a joint venture entity to handle contracts in this part of the world.

Wamar International, which has offices in the USA, Middle East, South Africa, South America and Asia, will provide offices at their international headquarters in Amman. The business will be headed by Wamar’s special projects manager, Mr Nowar.

Mr. Nabil Barakat, President, CEO and Founder of Wamar International, commented: ‘Wamar is excited about forming a relationship with Mineseeker Operations. There is no doubt that this product is much needed in the MENA region and in all countries affected by landmines. The situation in our region has been very bad for many years and the cost of locating and clearing landmines and unexploded ordnance has been prohibitive as well as technically challenging… I believe that Wamar has the expertise, infrastructure and ability to make a big difference, in conjunction with Mineseeker, with this most important humanitarian effort.’

From today’s date, all sales enquiries from the MENA area are being passed to Wamar – including enquires from Egypt, Kuwait and Libya. Libya was in negotiations with Mineseeker until the 2011 revolution, and the contract negotiation papers have been passed onto Wamar to recommence talks with the new transitional government. At the time that negotiations were terminated, an initial contract valued at US$25 million was drafted to survey areas in the western desert affected by World War Two landmines and unexploded ordnance.

It was also stated by the company that the involvement of its BVI office in global transactions reflects the strong demand for BVI-based corporate structures.

Some of recent high-profile transactions with BVI structures include, for example, Canadian-based financial institution Scotiabank’s USD acquisition of 51% in Colombia’s Banco Colpatria Red Multibanca Colpatria S.A., which became Scotiabank’s largest ever-international takeover. Other transactions are: purchase by UK private equity group CVC Capital of 51% controlling stake in Virgin Active – the fitness chain part of Richard Branson’s Virgin Group, valued at GBP900m; acquisition for GBP77.5m of the trading operations of UK-listed property services company DTZ by Australian company UGL Limited, and some others.

Ray Wearmouth, Managing Partner of Ogier BVI, said in his comments: “Ogier’s involvement in these arrangements also represent the continued confidence of the global financial community in the BVI as a stable and high-quality jurisdiction for structuring multi-national transactions.”

Within the permitted area, which is highly prospective for iron ore, significant quantities of Canga-type iron ore conglomerate have been observed forming three main plateaux covering an approximate area of 35 square km. A reconnaissance drilling/pitting programme is planned to confirm the thickness of the iron mineralisation and grade at depth with completion prior to the onset of the wet-season in May. Access roads to the plateaux will be completed in February 2012.

Sable Mining CEO Andrew Groves commented on this expansion: “this is a fantastic
addition to our iron ore portfolio, with early indications from reconnaissance work already highlighting the project’s prospectivity. Taking into account its proximity to the Nimba project, the near surface nature of the ore body, the defined plateaux and the relative proximity to infrastructure, we believe this has the potential to add significant value to the Company going forward.”
